What is LLP Partner Addition?

LLP partner addition is the process of inducting a new designated or regular partner into an existing Limited Liability Partnership by filing Form 4 and Form 3 with the Ministry of Corporate Affairs under Section 25 of the LLP Act, 2008 and Rule 22 of the LLP Rules, 2009.

Existing partners must execute a supplementary LLP agreement recording the new partner’s name, DPIN/DIN, capital contribution, profit-sharing ratio and rights. Form 4 (notice of partner appointment) and Form 3 (LLP agreement amendment notice) must then be filed on the MCA V3 portal within 30 days of the admission date. 1. Identity & Address Proof

Self-attested PAN Card, Aadhaar Card, passport-size photograph (JPEG under 200 KB) and address proof (utility bill not older than 2 months) of the new partner.

Step-by-Step LLP Partner Addition Process

1. Obtain DPIN/DIN for the New Partner

Apply for DPIN/DIN via Form DIR-3 on the MCA portal with PAN, Aadhaar, photograph and address proof. Government fee ₹500. Typically issued in 1–2 working days.

2. Obtain Digital Signature Certificate (DSC)

Procure a Class 3 DSC from a licensed Certifying Authority (₹800–₹1,500). Issued within 1 working day and mandatory for signing Form 4 and Form 3.

3. Draft Supplementary LLP Agreement

Prepare the supplementary agreement recording the new partner’s name, DPIN/DIN, capital contribution, profit-sharing ratio, rights and duties. Execute on non-judicial stamp paper (₹100–₹1,000 depending on state).

4. Pass Partner Admission Resolution

Existing partners pass a written resolution approving the admission. The new partner signs a formal consent letter. Both documents are attached to the MCA filings.

5. File Form 4 with MCA

File Form 4 (Notice of partner appointment) on the MCA V3 portal within 30 days of admission. Attach consent letter and resolution. Digitally signed by a designated partner and certified by a qualified professional. Fee ₹50–₹200.

6. File Form 3 with MCA
